1. Agreement to Terms

3. Service Agreement and Project Scope

Project Proposal

All website development projects begin with a detailed proposal that outlines the scope of work, timeline, deliverables, and pricing. This proposal becomes part of the binding agreement once accepted by both parties.

Client Responsibilities

The client agrees to:

  • Provide accurate and complete information for the project
  • Supply necessary content, images, and materials in a timely manner
  • Respond to requests for feedback and approval within agreed timeframes
  • Make timely payments according to the agreed schedule
  • Review and approve work at designated project milestones

4. Payment Terms

Payment Schedule

Unless otherwise specified in the project proposal:

  • 50% deposit required before work begins
  • Remaining balance due upon project completion and before launch
  • Payment is due within 30 days of invoice date
  • Late payments may incur a 1.5% monthly service charge

Refund Policy

Deposits are non-refundable once work has commenced. If a project is cancelled by the client after work has begun, payment is due for all work completed up to the cancellation date.

5. Timeline and Delivery

Project timelines are estimates based on the agreed scope and client responsiveness. Delays may occur due to:

  • Client delays in providing content or feedback
  • Changes to the original project scope
  • Technical complications beyond our control
  • Third-party service delays (hosting, domain registration, etc.)

6. Intellectual Property and Ownership

Client Content

The client retains ownership of all content, images, and materials provided to NextSite. The client grants NextSite permission to use these materials for the purpose of completing the agreed project.

Website Design and Code

Upon full payment of the initial project, the client owns the website design and code. However, the website hosting and ongoing availability is contingent upon continued payment of hosting and maintenance fees.

Hosting and Service Rights

NextSite retains the right to:

  • Suspend or remove website access for non-payment of ongoing fees
  • Control hosting environment and technical infrastructure
  • Showcase the work in our portfolio
  • Use the project as a case study for marketing purposes
  • Reference the client relationship in business development

Important: While you own the website design and code, failure to maintain current hosting payments may result in website suspension or removal without notice.

7. Revisions and Changes

The project proposal includes a specified number of revisions. Additional changes beyond the agreed scope may incur extra charges at our standard hourly rate.

Major Scope Changes

Significant changes to the project scope require a new written agreement and may affect the timeline and final cost.

8. Website Hosting and Maintenance

Hosting Services

NextSite provides website hosting services. This includes:

  • Secure website hosting and uptime monitoring
  • Domain name registration and management
  • SSL certificates and security measures
  • Automatic platform updates and maintenance
  • Version control and site history (provided by hosting platform)

Monthly Hosting Fees

Ongoing hosting services require monthly payment as specified in your service agreement. These fees cover:

  • Website hosting and server maintenance
  • Domain name renewal
  • Technical support and monitoring
  • Platform security and updates

Payment and Service Continuity

Monthly hosting fees are due by the agreed date each month. Late or missed payments may result in:

  • Website suspension after 7 days past due
  • Website removal after 30 days past due
  • Domain name expiration if renewal fees are not paid
  • Loss of email services associated with the domain

Note: Website data and backups are managed by our hosting platform. While we maintain reasonable backup procedures, clients are encouraged to keep their own copies of important content and materials.

9. Warranties and Disclaimers

Quality Assurance

NextSite warrants that all work will be performed in a professional manner and will function as specified in the project agreement for 30 days after launch.

Limitations

NextSite makes no warranties regarding website ranking in search engines, website traffic, or business results. We cannot guarantee compatibility with all future browsers, devices, or third-party services.

10. Liability Limitations

NextSite's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project. We are not liable for indirect, consequential, or incidental damages.

11. Termination

Either party may terminate the service agreement with written notice under the following conditions:

  • Material breach of contract by either party
  • Non-payment by client after 30 days past due
  • Failure to respond to communications for 30+ days
  • Mutual agreement to terminate

12. Force Majeure

NextSite shall not be liable for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where NextSite operates. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

14. Changes to Terms

NextSite reserves the right to modify these terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance of the modified terms.
